Two businesses can report the same profit and still have very different values.

Here’s a hypothetical example.

Imagine two businesses in the same industry. Each generates annual profit of two hundred thousand Australian dollars, after allowing a market wage for the owner’s work.

In the first business, customers deal with an established team. Staff can prepare quotes, manage orders and resolve problems. The owner can take a holiday and the work continues.

In the second, the owner wins most of the new work, approves every quote and personally manages the important customer relationships.

The profit looks similar. What happens when ownership changes may be very different.

If customers are loyal to the owner personally, some may leave. A new owner might need time and money to rebuild those relationships. Future earnings become less certain.

That’s why a valuation considers both the earnings the business can sustain and the risks attached to those earnings.

We examine the evidence: customer retention, who actually manages each relationship, what staff can do independently, and whether a realistic handover is possible.

A customer contract, a capable manager or a documented process can help. Each needs to be assessed in the context of the business.

Owner dependence doesn’t automatically mean a business has little value. A well-planned transition may protect those relationships and support continuing earnings.

For an owner preparing to sell, a practical step is to introduce team members into key customer relationships and gradually delegate decisions.

Start with one question: if you stepped away for a month, what would still depend on you?

If your business is valued at a million Australian dollars, why might a buyer offer more—or less?

A valuation is a reasoned assessment of what a business is worth on a particular date, using a stated basis of value and assumptions. A sale price is the amount negotiated for a particular deal.

Here’s a hypothetical example.

Buyer A offers one million dollars, paid at settlement.

Buyer B offers one point two million: one million at settlement, and another two hundred thousand only if future earnings targets are met.

The upfront amount is the same. The extra two hundred thousand is conditional.

To assess that extra payment, you need to consider how likely it is to be earned, when it would be paid, and the risk of receiving it.

A particular buyer may also see opportunities to combine your business with their existing operations. That can influence what they are willing to pay.

Before comparing an offer with a valuation, check that both figures cover the same business interest, assets and liabilities. Then look closely at the payment terms and conditions.

An independent valuation, prepared for the decision you’re making, helps you understand the assumptions behind the number and assess the offer in context.
